Spectrum Broadcasting has released a Website redesign Request for Proposal (RFP). The Company is looking for a web design and development firm or individual to complete a new and trendy website that will reach, engage, and connect with its radio listeners and advertisers. This Agreement constitutes a valid and binding confidentiality and non-disclosure agreement between Spectrum Broadcasting Company Nigeria Ltd (“Spectrum Broadcasting”) and [name] (“Vendor”).
By their execution of this Agreement, the parties hereto each acknowledges and agrees as follows:
Spectrum Broadcasting and Vendor wish to enter into discussions regarding the possibility of Vendor providing certain services for Spectrum Broadcasting, during which discussions Spectrum Broadcasting may disclose to Vendor certain information and/or material that Spectrum Broadcasting deems confidential and proprietary (collectively, “Confidential Information”).
Upon his/her execution of this Agreement, Vendor will be given relevant information and materials relating to Spectrum Broadcasting and/or its members, to enable Vendor to render the services and/or deliver the goods covered by this Agreement. More specifically, Vendor may receive and/or have access to certain non-public, proprietary and confidential information and materials relating to Spectrum Broadcasting and/or its members, including without limitation their respective plans, projects, programs, strategies, methods, processes, systems, products, names, contact information, and financial and technical information, (collectively, “Confidential Information”).
The Confidential Information is a matter of great sensitivity and secrecy. At all times hereafter, and except as otherwise set forth in this Agreement, Vendor will maintain the Confidential Information in the strictest confidence. Vendor will not disclose the Confidential Information to any person and/or entity except: (a) those of its employees and/or contractors (collectively, “Representatives”) who have a need to know the Confidential Information and who have been informed of, and expressly agreed to abide by, obligations equivalent to Vendor’s obligations hereunder; (b) as required by law, regulation and/or court order; and (c) as expressly agreed to in writing in advance by Spectrum Broadcasting. Vendor will not reproduce or otherwise use the Confidential Information except (d) to render the services and/or deliver the goods covered by this Agreement; or (e) as expressly agreed to in writing in advance by Spectrum Broadcasting. For the avoidance of doubt, Vendor may not use the Confidential Information for its own benefit or for the benefit of third parties.
In the event that Vendor is required by law, regulation or court order to disclose any Confidential Information, Vendor immediately will notify Spectrum Broadcasting in writing prior to making any such disclosure, to facilitate Spectrum Broadcasting seeking a protective order or other appropriate remedy from the appropriate body. If Spectrum Broadcasting is not successful in precluding the requesting legal body from reviewing the Confidential Information, Vendor will furnish only that portion of the Confidential Information that is legally required and will exercise best efforts to obtain reliable assurances that confidential treatment will be accorded the Confidential Information.
All Confidential Information is and will remain the property of Spectrum Broadcasting. Upon termination of Vendor’s relationship with Spectrum Broadcasting (including without limitation if Spectrum Broadcasting and Vendor cease discussions regarding Vendor providing services for Spectrum Broadcasting), or at any other time upon request by Spectrum Broadcasting, Vendor will return all Confidential Information promptly to Spectrum Broadcasting, and permanently delete all digital and/or other electronic copies of Confidential Information that it may have in its possession.
In the event of a breach or threatened breach of this Agreement by Vendor, Spectrum Broadcasting will have no adequate remedy in money or damages, and accordingly will have the right to seek injunctive and/or other equitable relief against Vendor, without bond, in addition to all other rights and remedies that it may have against Vendor. Vendor will be fully responsible for all losses, damages, liabilities, penalties, costs and expenses incurred by Spectrum Broadcasting in connection with Vendor’s breach of this Agreement and/or any of its Representatives’ breach of their obligations referenced in this Agreement. This Agreement constitutes the entire understanding of the parties hereto with respect to the subject matter hereof, and supersedes and replaces any and all prior agreements between and among them relating to said subject matter. This Agreement may not be modified or assigned except by a writing signed by all the parties hereto. This Agreement will be governed by and construed in accordance with the laws of Nigeria.
