SCAM ALERT!

One of our Hawaiian customers received a voicemail from the IRS claiming that there were multiple errors in her new LLC's Articles of Organization and if she didn't call back by the end of that day, they would "reject the documents!"

There's only one problem... This wasn't the IRS. It was a scam.

The IRS would not call you for anything concerning your LLC's articles of organization. They certainly wouldn't be telling you there were errors in the documents that were filed with your formation state.

If you get a phone call like this, hang up!

SmallBiz Week - Lots of offerings
National Small Business Week of course is an SBA sponsored week dedicated to the recognition of American small businesses. However, it's also a week for some great deals and useful information offered by many organizations (private and public), all geared toward small biz owners.

Besides an incredible discount to our primary filing service (we'll announce this on Monday), we'll be launching pages through the week dedicated to some of the organizations offering great deals or information during #smallbizweek

Here's a page we set up highlighting some of the best (and more recent) videos by IRS to help smallbiz owners with taxes:

SCOTUS' Aereo Ruling:  A setback to consumers?
By a 6/3 decision, the Supreme Court essentially killed the start-up Aereo, who offers consumers a way of recording and streaming video from live broadcast TV.  SCOTUS said Aereo now has to pay broadcasters for signals like cable companies do.   Since their business model does not provide for this, it doesn't bode well for the $100 million reportedly invested by the likes of Berry Diller.  You can read the CEO's blog (http://blog.aereo.com/) where he says this, "a massive setback for the American consumer."

Have a Florida corporation?  Here's how to reinstate it.
Reviving a dead Florida Corporation
Continuing my series on what to do with a corporation in various situations (previously making changes and moving a corporation to another state), I have posted a new article covering how to reinstate a dead Florida corporation (the options are similar in other states).

I cover your alternatives (to reinstating), the specific reinstatement procedure to follow, what you need to do before this, and why not to get into this situation go begin with.  Hopefully, you will find it helpful, even if you do not have a dead Florida corporation.

Congratulations to $250,000 Grant Winners
12 Smallbiz owners won grants from Chase Bank as part of their Mission Main St Grants program.  The lucky winners competed by telling a committee why they deserved the money to grow and had to convince at least 250 people to vote for them.  Meet the winners:  http://goo.gl/63HLVu

Missed getting your grant?   There's always next year, right?

Florida Scam Alert!
Once again, Florida Corporations & LLC's are receiving notifications that look like they are from the government which push unsuspecting Smallbiz owners to send in money for an over-priced service they do not need.  One of our clients received three separate solicitations.

As a rule, before you send money to anyone, even if it looks "official", read it first.  These scammers depend on us not have enough time to read their fine print and hidden disclaimers, so that we can make the right choice of filing this kind of mail in the "circular file."

We've posted some details as to what happened in our blog: http://www.smallbiz.com/blog/more-scams-coming-your-way

Wondered how to kill your Corporation?  Here's how!
If it is time to close up your corporation and cease doing business, you must actually cause the end its existence.  But there is a little more to do than just proclaiming to yourself, "I'm done!"

We've posted an article which describes how you can dissolve your corporation yourself and what other issues you should consider before proceeding.  Did you know there is an option where you can do nothing?   Find out more:

House passes reform bill to thwart patent trolls
By a vote of 325 to 91, the House passed a bill today which aims to make procedural changes to the patent system to stop some of the predatory practices by so called  #patenttrolls .  The Innovation Act includes the following changes:
> Requiring Specificity in patent lawsuits
> Making patent ownership more transparent
> Making loosing plaintiffs pay
> Delaying discovery to keep costs down
-> Protection for end users

The last one is a big one, where small biz owners are getting hurt by being forced to pay off patent owners (under threat of lawsuit) for common services bought from vendors or manufacturers, used to help provide services to their customers (i.e. WiFi access at a restaurant or one-click purchasing on an ecommerce website).

Although not a final solution, it appears to be an improvement over the 2011 law, and it appears a companion legislation is being worked on by the Senate.  So, there is hope this will become law.
