100% FDI in E-commerce Marketplace!

The government announced rules for foreign direct investment in online retail firms to attract more foreign investments in the fast growing retail sector. The DIPP also outlined the definition of e-commerce 'Inventory based model' and ' Market place model'  
1) What is the limit for FDI in e-commerce firms?
Foreign investors can now own 100% in e-commerce firms, but only those having a market place model.
2) What is a Market place model?
Market place model means providing a platform that acts as a facilitator between buyer and seller . Here the e-commerce firm will merely act as an arbitrator. This is different from an inventory-based model where the e-commerce entity owns the goods and services, and sells to consumers directly.
3) So is this a win-win for market place e-commerce firms?
Not exactly. The new rules say that market place firms cannot offer discounts, only the vendors selling their goods on the e-commerce sites can offer discounts. At the same time a single vendor or a group company of the market place e-commerce player cannot account for over 25% of the total sales.
4) What do the new rules mean for consumers?
The lucrative discounts offered by e-commerce players will soon disappear, unless the firms can find a way to get around the rules.
5) What do the rules mean for e-commerce firms?
So far e-commerce firms had been chasing gross revenues by offering huge discounts. While this helped show higher revenues and raise huge sums from investors, it led to substantial losses. With the new rules prohibiting discounts, the firms will have to differentiate themselves through novel services.
6) What are brick and mortar retail companies saying?
They have cheered the rules saying it will provide a level playing field as e-commerce firms were so far hurting their business by enticing consumers online with unsustainable offers.
 7) How will the rules impact valuations of e-commerce players?
In the short term, the valuations could shrink. That is because the firms will no longer be able to show huge growth in revenues. But profitability will recover as heavy discounts end, and that should improve investor perception about these companies, and subsequently valuations.
