My New Strategic Advisory Venture:  J. Lee Lloyd, LLC

Dear Friends:

I am pleased to share that I launched a new venture on January 1, 2014 — an independent, solo advisory firm creatively called J. Lee Lloyd, LLC. I spun out of Brooks Pierce LLP on a friendly basis so that I could have the freedom, as a non-attorney, to pursue for-profit corporate board positions, private equity investment activities, strategic advisory engagements where I have equity interests in clients, and other activities and arrangements that would be difficult to pursue as a partner in a law firm. I am proud to have been a member of the Brooks Pierce firm since 2002, and I extend my heartfelt thanks to everyone there for allowing me to be a part of such a special place.

With this enhanced flexibility to assist entrepreneurs, corporations, private equity firms and family offices, I remain focused on four primary areas as a senior-level strategic advisor: mergers and acquisitions, family offices (direct private equity investment initiatives), startups (funding and strategic partnerships), and public-private partnerships (e.g., Steven B. Tanger Center for the Performing Arts, Gateway University Research Park, Union Square Campus).

In addition, I am actively pursuing 2-3 corporate director positions. Please let me know if you become aware of any board openings (regionally or nationally) where I may be a potential fit as a candidate. I have been networking with search consultants and CEOs across the country over the past few weeks and would appreciate any guidance or introductions you may have.

It has been a busy year so far for my clients and for M&A and financing transactions in general. In one of the more interesting deals I have ever done, I assisted fellow GGI member Tim van der Meer of the investment banking firm Marktlink in representing Afriflora, a floriculture business based in The Netherlands that operates the world’s largest rose-growing farm in Ethiopia. The reported $200 million investment by KKR for a majority stake in Afriflora is the largest private equity deal in Africa this year.

KKR Invests in Afriflora, World's Largest Grower of Fair Trade Roses

I was pleased to assist my +GGI | Geneva Group International colleague Tim van der Meer of Marktlink Fusies & Overnames B.V. in advising Afriflora on this transaction, the largest private equity deal in Africa this year. Afriflora, with 450 hectares of greenhouses and 8,700 employees, is based in The Netherlands and has its rose-growing operations in Ethiopia. This cross-border deal by KKR, one of the leading private equity firms in the world, represents its first investment in Africa.

Interesting deal announced yesterday. Keurig single-serve soda beverages are on the way.

Coca-Cola agreed to pay $74.98 per share (approximately $1.25 billion) for the 10% stake. $GMCR is currently trading at $102.29, up 36% from Coke's purchase price (which was based on $GMCR's 50-day weighted average).

Coke will buy about 16.7 million shares in Green Mountain for about $1.25 billion. In return, Green Mountain will be the official maker of the soda giant’s single-serve cold beverages, built on its popular Keurig pod-based system.

Professional Background

I started preparing myself to negotiate complex M&A transactions when I was 20 years old. Understanding the entire "big picture" of financial, legal, tax and strategic business considerations that drive a successful deal has always been exciting to me. I've been fortunate to learn from, and work with, outstanding professionals in the M&A field as an investment banker at Goldman Sachs and Lloyd & Company, as a business lawyer at Brooks Pierce, and as a CPA at Arthur Andersen. Over the course of my career, I have advised clients on transactions ranging from $5 million to $6 billion, including cross-border transactions in over 26 countries.

In the past decade, I have been able to play a leading advisory role in the formation, financing and development of innovative public-private partnerships including Gateway University Research Park, NewBridge Bank Park, Union Square Campus, Steven B. Tanger Center for the Performing Arts and the Nanomanufacturing Innovation Consortium.

Personal Background 

I grew up in Burlington, NC, the oldest of five children. We all attended UNC-Chapel Hill, and cheering for the Tar Heel athletic teams (especially men's basketball) remains one of my most passionate interests. I enjoy playing golf with family, friends and business colleagues, and my family has a membership at beautiful Old North State Club at Uwharrie Point.

My wife, Ellen Bryant Lloyd, is an award-winning children's book author and writes a blog on parenting. We have been blessed with two wonderful children: a 16-year-old son and a 12-year-old daughter. This is a fun and busy time in our lives as we pursue career and school accomplishments while balancing youth basketball and junior golf tournaments with cello, piano and ballet lessons. Being a dad is the best, and most important, thing that I get to do.
Bragging rights
I have appeared on the cover of Sports Illustrated (March 29, 1982), sung for President Nixon in the White House, performed as an extra in the comedy-drama film "Dave" and supervised the world's best-run spectator grandstand as the 11th-Hole Marshall at the 2006 U.S. Open at Winged Foot Golf Club.
