TECHNOLOGY - CRYPTOCURRENCY

Attorney Todd Cole was recently invited to speak on the subject of cryptocurrency at the invitation of Tennessee Tech University's Kappa Sigma fraternity. The focus of his presentation was "Cryptocurrency and How to Construct a High-speed Computational Node."

Prior to pursuing the law, Mr. Cole had an extensive background in technology, having begun his career as a Systems Engineer with International Network Service, where he managed large computer network implementation projects at Fortune 500 companies. He then joined Microsoft where he developed several white papers for the strategic implementation of Microsoft products and technologies at large companies, including co-authoring the Windows Terminal Server Deployment Guide. In 1998, he founded Stratacon, LLC, a successful
information technology consultancy which was ultimately acquired by Xcelerate Corporation.

Today Mr. Cole advises clients on internet and cyber law issues with regard to intellectual property, domain disputes, contracts, consumer law, business and e-commerce, and personal jurisdiction. He has a special interest in cryptocurrency.

PRENUPTIAL AND POSTNUPTIAL AGREEMENTS

A prenuptial agreement is a contract you enter into prior to marriage. The prenuptial agreement helps ensure that you and your spouse have a clear understanding of the division of finances and/or property if the marriage should end in divorce. The prenuptial agreement also affords spouses-to-be the flexibility to determine who will pay certain bills during the marriage and to determine who will acquire property owned by each of you before the marriage.

A postnuptial agreement is a contract that a couple enters into after marriage. The postnuptial agreement is designed to settle financial and property issues that could arise if a spouse dies or the marriage is dissolved. However, it can also address everyday issues, such as how long a person can devote to particular personal activities. Some states prevent such agreements from disposing of child support or custody.

Additional designations that might be drafted into prenuptial / postnuptial agreements include:

- How business assets will be divided
- Who will receive future inheritances, and whether children from a prior
relationship can claim their share of property
- Who will be liable for past or current debts
- What finances will be separate
- What retirement / pension plan contributions will be separate

In order for prenuptial / postnuptial agreements to be valid, they must meet the following criteria:

- Both parties must accurately disclose all assets / liabilities.
- The agreement cannot be unconscionable.
- Each party must have time to read and contemplate the agreement
without pressure from the other party.
- The agreement must be signed by both parties and notarized.
- Each party should be represented by separate counsel (not required in
some states but the best way to protect the interests of both parties
and assure validity of the document).

Please keep in mind that while prenuptial and postnuptial agreements are generally very effective, they do not guarantee that a court will honor your agreement or that you will avoid conflict altogether if a marriage is dissolved.

BUSINESS INTELLECTUAL PROPERTY

**Andrew Goldstein, law clerk to the firm, discusses the specifics of a settlement that brought an abrupt end to the Waymo v. Uber technologies trial.

“After nearly a year of litigation, Waymo, the self-driving car service and former Google subsidiary, reached a mid-trial settlement with Uber over allegations that Uber stole approximately 14,000 of Waymo’s confidential files and other trade secrets associated with the operation of its self-driving cars. As part of the settlement, Waymo will receive a 0.34% equity share of Uber (estimated to be worth over $244 million). In addition, Uber has agreed not to use any of Waymo’s confidential information in the design of its hardware or software for its own self-driving cars. For Uber, the settlement allows it to walk away from the lawsuit without any finding of wrongdoing. Although Waymo had requested $1.8 billion in damages and Uber had denied using any of Waymo’s trade secrets, this surprising settlement on the 5th day of the trial shows that each side felt they had something to lose, and that neither of them wanted to take their chances by letting the jury decide.”

FAMILY LAW DIVORCE

A new tax law which goes into effect in 2019 means that spouses paying alimony will no longer be able to take a deduction while spouses receiving alimony will no longer have to report it as income. This law will come into play during the negotiation of divorce terms.
