Former SEC Commissioner Dan Gallagher discusses what Trump should look for in new SEC Chair & Commissioners. I am hoping Trump hires individuals that support free markets and who are focused on increasing capital formation opportunities for small and medium-sized enterprises.

It is frustrating to read over the various SEC committee recommendations and learn that in 2017 we are still no further ahead in the SEC taking action on recommendations that were proposed in 1990 and every year since.

The report on Alternative Finance Crowdfunding in Canada my law firm sponsored with National Crowdfunding Association of Canada has been officially published.

Lots of work. The report is free. Take a look if you are interested in learning more about crowdfunding and marketplace lending in Canada.

I am hoping that in 2017 we will start to see some real change by regulators and positive traction for SMEs getting access to the capital they need to be successful in Canada.

In Canada, we have a number of active funding portals where issuers are raising capital using the accredited investor exemption and to a lesser extent other existing securities registration exemptions. Not one issuer has attempted to use the integrated crowdfunding exemption (MI 45-108) seven months from it going live. The ASC announced it was seeking comment on whether it too should adopt MI 45-108. Regulatory uniformity is great when it's a rule that works. MI 45-108, however, needs to be amended before issuers and potential funding portals will find this rule useful.… show more

Georgia Secretary of State Brian Kemp's talk on the Invest Georgia intrastate crowdfunding exemption is refreshing! I think I have a new hero.

The Invest Georgia exemption has been used by 36 companies in Georgia since 2011. A small number but significant none the less.

More outside investment capital is coming into Georgia as the state is perceived as pro-business.
